Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT IN NO EVENT WILL CKS PRIME BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT OR INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, FOR LOST PROFITS OR FOR LOST DATA ARISING OUT OF OR IN ANY WAY IN CONNECTION WITH YOUR USE OF THIS SITE OR INABILITY TO USE THIS SITE, WHETHER BASED IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF CKS PRIME HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. Indemnity. To the maximum extent permitted by law, you acknowledge and agree to indemnify, defend, and hold harmless CKS Prime and all of its employees, agents, directors, officers, stockholders, investors, attorneys, successors, and assigns from and against any and all claims, proceedings, liabilities, damages, costs, and expenses (including but not limited to reasonable attorneys’ fees) arising from or relating to your use, access to, or conduct on the Site, your violation of any third party right, or your violation of this Agreement.
Governing Law. The substantive and procedural laws of New Jersey, without regard to the choice or conflicts of law provisions of any jurisdiction, will govern this Agreement, your access to and use of the Site, and any claim relating to the materials on this Site.
